Abstract:

Introduction. Opportunistic behavior of corporate management is increasingly taking an extreme form of corporate fraud, which causes the greatest financial and reputational damage to companies. Moreover, identifying management fraud remains the most challenging task for companies worldwide, despite the implementation of internal control systems and advanced corporate governance standards. To address this challenge, it is necessary to find effective anti-corruption compliance measures that will foster a rejection of opportunism among company managers. Theoretical analysis. This article examines research on employee and managerial opportunism, defining the nature, types, and forms of corporate fraud as the extreme form of managerial opportunism. Elements of a system for combating corruption risks and corporate fraud are revealed. Empirical analysis. A statistical analysis of the main types and forms of fraud, both in Russian companies and worldwide, is conducted, as well as elements of D. Cressey’s “fraud triangle” model. Trends in the application of compliance tools are identified, and the need for their development is substantiated. Results. The paper proposes an algorithm for identifying critical points and fraudulent schemes involving company managers, the need for anti-corruption compliance to be implemented by a working group involving internal auditors, forensic specialists, and security personnel, strengthening the independence of internal auditors, and increasing communications with the board of directors and shareholders, developing hotline tools and shareholder activism, as well as the involvement of a corporate psychologist in creating a psychological climate of fraud rejection.
